Welcome to Omahji. These Terms of Service ("Terms") govern your access to and use of the Omahji platform, including our website, applications, and services (collectively, the"Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.
"Omahji,""we," "us," or "our" refers to Omahji and its operators.
"User,""you," or "your" refers to any individual or entity that accesses or uses the Service.
"Instructor" refers to a User who subscribes to the Service to manage mahjong classes, events, and players.
"Student" or "Player" refers to individuals who are managed through an Instructor's use of the Service.
"Content" refers to any data, text, information, or materials uploaded, submitted, or transmitted through the Service.
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant thatyou have the legal capacity to enter into these Terms and that all information you provide is accurate and complete.
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.
Omahji offers subscription-based access to the Service. The features and current pricing of each subscription plan are described on our website and may be updated from time to time in accordance with Section 4.3.
Subscription fees are billed in advance, either monthly or annually, depending on the plan selected. You authorize us to charge your designated payment method for all fees incurred. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
We may change our subscription fees at any time. Price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.
We may offer free trial periods. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.
You may use the Service for lawful purposes in accordance with these Terms. The Service is designed to help mahjong instructors manage scheduling, memberships, player information, seating arrangements, and related business operations.
You agree not to: (a) use theService for any unlawful purpose or in violation of any applicable laws; (b)attempt to gain unauthorized access to any part of the Service or its systems;(c) interfere with or disrupt the integrity or performance of the Service; (d)transmit any malware, viruses, or harmful code; (e) collect or harvest anyinformation about other Users without their consent; (f) use the Service to send spam or unsolicited communications; (g) impersonate any person or entityor misrepresent your affiliation; (h) use any automated means to access theService without our express permission; or (i) sublicense, resell, orredistribute the Service to third parties without authorization.
The Service and its original content, features, functionality, and underlying technology are owned by Omahji and are protected by copyright, trademark, and other intellectual property laws. Our name, logo, and all related names, logos, and slogans are our trademarks.
You retain ownership of any Content you submit to the Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content solely to provide and improve the Service. You represent that you have all necessary rights to grant this license.
Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you.
The Service may integrate with or contain links to third-party websites, services, or applications, including payment processors. We are not responsible for the content, policies, or practices of any third-party services. Your use of such services is subject to their respective terms and privacy policies.
The Service may enable Instructors to accept payments from Students for classes and events. Payment processing is handled by third-party payment processors. Omahji is not responsible for any issues, disputes, or errors related to payment processing. You agree to comply with the terms and conditions of any payment processors you use through the Service.
Payments your members and customers make for your offerings — including game, event, league, and session registrations and recurring member subscriptions — are processed through Stripe Connect and settle directly to your connected Stripe account, net of the Platform Fee described in Section 9. Omahji does not take custody of, hold, or control your funds. The timing, availability, and method of payouts are determined by Stripe under the Stripe Agreements, and Omahji is not responsible for anydelay, hold, reserve, or reversal imposed by Stripe.
Payment processing for transactions is performed by Stripe. The Platform Fee described in Section 9 is inclusive of Stripe's standard per-transaction processing fees; Omahji does not charge a separate processing fee on top of the Platform Fee. Stripe may, however, separately charge your connected account for other items under the Stripe Agreements (for example, dispute or chargeback fees, instant payout fees, or currency conversion), for which you are responsible.
You are responsible for managing and resolving refunds, cancellations, disputes, and chargebacks arising from payments made to your connected account, including any associated fees, reversals, or reserves that Stripe applies. You are responsible for setting and honoring your own refund and cancellation policies for your offerings. Omahji is not responsible for issues, disputes, or errors attributable to the payment processor, and Omahji's facilitation of a refund through the Service does not make Omahji a party to the underlying transaction.
You are solely responsible for determining, collecting, reporting, and remitting any taxes (including sales, use, VAT, or similar taxes) applicable to your offerings and to the payments you receive through the Service. Omahji does not calculate, collect, or remit taxes on your behalf unless expressly stated otherwise in writing.
In consideration for Omahji's payment facilitation and related Services, Omahji charges a fee (the "Platform Fee") on payments processed through the Service, as follows:
The Platform Fee is calculated on the gross transaction amount and is deducted automatically at the time of the transaction as a Stripe Connect application fee, before the remaining funds settle to your connected Stripe account. The Platform Fee includes Stripe's standard payment processing fees for the transaction (see Section 8.3), so no separate processing fee is deducted on top of it. The Platform Fee is separate from your Omahji subscription fee described in Section 4. The Platform Fee applies regardless of whether a transaction is later refunded, canceled, or disputed, except to the extent the corresponding application fee is reversed through the Service or by Stripe.
The Service includes AI-powered features for scheduling optimization and seating arrangements. While we strive to provide accurate and helpful recommendations, AI-generated suggestions are provided "as is" without guarantees of accuracy or suitability for any particular purpose. You are responsible for reviewing and approving any AI-generated recommendations before implementation.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMAHJI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, ORUSE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US INTHE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Omahji and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, or expenses(including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any Content you submit to the Service.
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, non-payment of fees, or discontinuation of the Service.
Upon termination, your right to use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, and limitations of liability. You may request export of your data within 30 days of termination.
We reserve the right to modify or discontinue the Service (or any part thereof) at any time. We may also update these Terms from time to time. Material changes will be communicated via email or through the Service. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in Portland, Oregon, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Omahji regarding the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
